Participation in the operation.

True North Mining LLC works with a small number of private investors. This page describes the operation. It is not an offer, and it is not offering documentation.

Read this first. Participation is limited to accredited investors as defined in Rule 501(a), and status must be verified — self-certification is not sufficient. Mining involves substantial risk, including total loss of invested capital.

What the company does

True North recovers placer gold from the seafloor of Norton Sound, off Nome, Alaska, using a two-vessel fleet through a may – octoberoperating season. Offshore discharge is authorised by the Alaska Department of Environmental Conservation under AKG374036. Theoperation page sets out how recovery actually works, and the fleet page gives the vessel specifications.

What this page is not

It carries no projections, no return figures, and no use-of-funds breakdown. That is deliberate. Forward-looking numbers mean something only alongside the assumptions and risk factors they depend on, and those belong in definitive offering documents delivered to an identified investor — not on an open web page that reaches readers who never see the caveats.

How participation works

Any offer of securities is made solely through definitive offering documents. Before those are provided, accredited status must be verified under Rule 506(c) — a written self-certification is not sufficient, and the company is required to take reasonable steps to confirm it independently.

Risk

Mining is a risk business and this one is concentrated: a single district, a six-month weather-dependent season, two vessels, and a commodity whose price the company does not control. An investor should be able to lose the entire amount invested without it mattering to them. Anyone who cannot should not participate.

No offer. Nothing on this website constitutes an offer to sell or a solicitation of an offer to buy any security, and no security may be offered or sold except in compliance with applicable federal and state securities laws.
